Probably not too many rules. Pink sheets are the wild wild west as far as I can tell. Also keep in mind, if they prchase enough Paivis on the open market, they may end up with a controlling interest before the merger and then change the deal big time. Seems like a possibilty.

I would agree. something smells fishy. like what if they buy up enough shares to call off the merger and just retain a controlling interest. all of this is speculation of course, but i still have this nagging feeling about what the CEO said as he left... how on earth can a board not tell him about the merger?

He knew about the merger but he was demoted well before resigning and when they demoted he was out of the loop. So that was no big deal there.

Re:NEWS THIS MORNING - 2008/04/12 11:30 am What I read in the Ex-Ceo's comments (in his letter filed with the SEC), he was more concerned over the impact of this arrangement for TCHH sharholders and not Paivis shareholders. Before allowing this letter to frighten us, we should remember that somone in his former position would likely own a signifcant portion of shares. Also he may have purchased stocks at higher than current prices in the last couple of years. With current price levels and the likelihood of more dilution, the proposed merger would definitely be a stresser for the ex-CEO. Hence the motivation behind his letter may be more self serving than it appears. On another note.....Yes I agree Joel, anything less than 1.5 cents is a good opportunity to accumulate in the short term.

Re:NEWS THIS MORNING - 2008/04/14 06:55 pm The news is pretty standard if you have been reading the filings of these 2 companies over the last couple of years. Super high risk as would be most pink sheets. Auditors will attach these strong statements to financial reports of higher risk companies (as tehse 2 are) so as to avoid class action law suits.

I have a feeling TCHH just gobbled up a good chunk of the outstanding shares today after many bailed out.. Good timing for them on the 10K. They will be able to accumulate way under 2 cents for a while. A coupld eof weeks will tell the tale on these 2.

OK, think I'll watch from a distance. Not as sure thing as I thought. Could get back in now and have more shares but, no guts.

Re:NEWS THIS MORNING - 2008/04/15 09:12 am Thats right..... if it was a sure thing, heck just about any investor would try to gobble up as many shares as possible at current prices to get big pay day. These are many ifs and buts and candy and nuts...& you know the rest of the story......

Re:NEWS THIS MORNING - 2008/04/15 09:22 am Hi Folks, I sold about 2 or 3 weeks ago at .023, worked out well I suppose. I bought more WNBD in anticipation of the news that never came first week of April. I'll wait another 10 days or so and then I'll come back and reload on PAVC for even more shares than I had before. I just think my chances are better with SWVC n WNBD over the next week or two, just hoping this boat waits for me.

Re:NEWS THIS MORNING - 2008/04/18 09:20 am Recent news.
Sponsored by:

0.03, +0.00, +4.2%) confirms that with the timely filing of its 10K PAIVIS, CORP. ("PAIVIS") (PINKSHEETS: PAVC) has started the final phase of its review required to complete the due diligence for the merger.
The timely reporting of its annual audit and the solidifying of its management team were key milestones achieved recently by the Company. Trustcash anticipates other milestones to be completed rapidly as it moves towards improving operations, increasing revenue and a merger with Paivis.
Trustcash's Interim CEO, Kent Carasquero, commented: "It was important for the Company to get its management situation stabilized and to remain current in our filings as this was required under the terms of the merger agreement. Mr. Lai, our new CTO, Mr. Shafer, our Chairman, and I are committed to work together as a team to make Trustcash a success. Mr. Lai will manage the IT department and the day to day operations of our web-based payment card system. Mr. Shafer and I can now concentrate our focus on completing the financing negotiations and continue our integration planning with Paivis."
About Trustcash

Peterl, if you go back to when I had this thread set up, you will see that the play was and still is speculative on the merger being done.

In Pinkie land there are talks of mergers daily, most use them as springboards to help move a stock. This stock had a pretty big surge off of the intial news. But as time has progressed and the merger has been slower then many would have hoped, the PPS has suffered.

Now take into account the 10 K that TCHH just put out and you can see that investors are concerned that this will go thru. My suggestion to anyone who gives a tinkers about it, would be...Buy this as fast as you can, todays news only makes this deal in my eyes more of a reality then a hype.

The PPS will take care of its self, and in the long run what matters is the .10 cents that all will be getting for each share they own of the stock...Hang in there everyone, its going to be well worth the wait if it all plays out the way its been laid out to play...Good Luck. TG
I only have myself to blame, never others, stand and take responsibility.

Re:NEWS THIS MORNING - 2008/04/21 11:15 am Thanx for your input TC. I agree, there is a lot of potential here. The key is not to over expose oneself to the potential risk as well. I guess as the old saying goes, only put money in you can afford to lose.

Re:NEWS THIS MORNING - 2008/04/21 03:01 pm Trustcash Holdings, Inc. Announces Moving of Offices to Atlanta, GA
1:32 p.m. 04/21/2008 Provided By Market Wire
NEW YORK, NY, Apr 21, 2008 (MARKET WIRE via COMTEX) -- TRUSTCASH HOLDINGS, INC. ("TRUSTCASH") (TCHH) announced today it is moving its main offices from New York to Atlanta, GA. This move is another step Trustcash is making as it readies for a closing and subsequent merger with PAIVIS, CORP. ("PAIVIS") (PINKSHEETS: PAVC).
The move will be conducted over a couple of stages but the first step of the move is already underway.
As part of the previously announced pre-merger integration planning this action lays the groundwork for immediate cost savings through consolidation of office costs with Paivis immediately upon closing.

It's moving into Pavc's place. That tells me that It's a whole lot better odds that this deal is going through than not. JMO Anyway sell if you like I'll buy up your cheap shares www.bearpawartworks.com
